The task of the Supervisory Board is to oversee the policy of the Executive Board and general developments at USG People. The Supervisory Board supports the Executive Board with advice. In fulfilling their task, the supervisory directors focus on the interests of USG People and of its affiliated companies. In this context, the Executive Board notifies the Supervisory Board of any relevant information which is deemed important in order to carry out its statutory tasks. In carrying out these tasks, the Supervisory Board weighs up the various interests of those involved.
From 1 January 2005 up to the General Meeting of Shareholders held on 12 May 2005, the Supervisory Board comprised five members, namely Cor Brakel, Joost van Heijningen Nanninga, Marc Battaille de Stappens de Nieuwenhove, Marike van Lier Lels and Bert de Vries. Marc Battaille de Stappens de Nieuwenhove’s period of office ended on 12 May 2005. In 2005 the Supervisory Board decided not to appoint a new member to replace him. Since then, the Supervisory Board has been comprised of four members.
As from 9 May 2006, Bert de Vries’ period of office terminated. He has not put himself forward for re-election. On the same date, Alex Mulder (former CEO at USG People) and Christian Dumoulin became supervisory directors, restoring the total number of members to five.
